ARTICLE I - General
These Bylaws are established to implement the Articles of Incorporation of
this organization, the Bylaws of the Evergreen State Volkssort Association
(ESVA), and the Constitution and Bylaws of the American Volkssport Association (AVA) and the
International Federation of Popular Sports (IVV).
ARTICLE II - Membership
Section 1. Classes of Membership: There shall be one class
of membership in this corporation, which shall be limited to those individuals and families whose dues
are current. Individuals and members of families 18 years old and over shall
constitute a voting member, limited to two votes per family.
Section 2. Rights and obligations of Members:
a. Rights. Every Member is entitled to:
(1) Exercise the right to vote, and file petitions,
(2) Be on the official mailing list, and
(3) Eligibility for participation in club activities.
b. Obligations. All members of the organization are obligated to:
(1) Promote the aims and goals of the club, the ESVA,
and the AVA to the best of their abilities,
(2) Uphold the reputation of the club, the ESVA, and the AVA at all times,
(3) Obey the Bylaws of the club and the ESVA and the Constitution and Bylaws of the AVA,
(4) Pay dues as required, commencing with application for an individual
or family membership, and
(5) To contribute some of his or her time to the club's activities
because it is only through the volunteer efforts of club members that
the purposes of the club can be met, and,
(6) Uphold the laws of the land.
Section 3. Dues. Members must pay annual dues per individual and
per family, due on July 1. Members shall be notified one month in
advance, and those whose dues are not paid within 60 days shall
be automatically dropped from membership in the organization.
ARTICLE III - Officers
Section 1. Officers. The officers of the organization shall
be a President, Vice President, Secretary and Treasurer. Such other
officers and committee members as may be deemed necessary may be
elected or appointed by the President.
Section 2. Eligibility. No member shall hold more than
one office at a time, and no member shall be eligible to serve
more than four consecutive terms in the same office.
Section 3. Nomination Procedures. At the regular meeting
held in the month of May, nominations will be taken and additional
nominations from the floor at the June meeting shall be permitted.
Voting will take place at the June meeting.
Section 4. Elections. The officers shall be elected by
a show of hands of the regular members of the organization at the
June membership meeting. Where only one (1) candidate for an office
has been nominated, a show of hands will not be necessary. The Secretary
shall cast the unanimous vote of the meeting. In the event that
more than two (2) candidates are nominated for the same office and upon the first vote no candidate
receives a majority of the votes cast, the two (2) candidates receiving the
most votes shall run against each other. Upon the subsequent vote, the candidate receiving
the majority vote shall be declared elected. Proxies will not be allowed.
Section 5. Terms of Office. The officers shall hold office
for a term of one year or until their successors are elected, not
to exceed four (4) consecutive terms. Their term of office shall
begin on the first of July.
Section 6. Duties. These officers shall perform the duties prescribed
by these Bylaws and by Robert's Rules of Order, Newly Revised.
a. President. The president shall preside at all meetings
of the organization, call special meetings of the organization,
appoint committees, represent the organization officially in
all affairs or designate an appropriate representative, and
serve ex officio as a member of all committees of the organization.
b. Vice President. The Vice President shall preside at all meetings of
the organization in the absence of the President, succeed to the office
of the President in the event of a vacancy in the office of President and
perform such duties as are prescribed by the President.
c. Secretary. The Secretary shall be responsible for recording
and maintaining minutes of all meetings of the regular membership, maintaining the official list
of officers and members of the organization, and preparing general correspondence
of the organization that is not a function of other officers or
committees.
d. Treasurer. The Treasurer shall be responsible for keeping
an accurate account of all monies of the organization, collection
of all monies due and making payments which have been authorized,
preparing a Treasurer's report for each meeting of the organization,
and submitting a full financial report to the members at each meeting.
e. ESVA Representative. The ESVA Representative may be appointed
to attend all ESVA meetings or make sure an alternate will be
in attendance with a letter from the President verifying eligibility
to vote in place of the representative, represent the club and
vote at all ESVA meetings, receive and maintain correspondence
from ESVA, AVA and IVV, keep the club membership notified of
all ESVA, AVA and IVV communications and correspondence, and,
inform the President of ESVA functions needing volunteers.
f. Trailmaster. The Trailmaster may be appointed by the President
and shall serve as an ex officio member of all event committees to assist committees by
inspecting event routes, checking distance, certifying it is safe and
of good quality and reviewing rating before submission to the Pathfinder, assist
event committee chairperson by providing guidelines to event planning,
event managing and post event followup.
ARTICLE IV - Meetings
Section 1. Regular Meetings. The regular Meeting of the organization
shall be held on the First (1) Wednesday of each month unless otherwise
ordered by the organization.
Section 2. Election Meeting. The regular meeting each June
shall be known as the election meeting and shall be for the purpose
of electing officers, in addition to regular business, and for any
other business that may arise. During the May meeting the Secretary shall
announce the date, time and place of the election meeting.
Section 3. Special Meetings. Special meetings may be called
by the President or shall be called upon the written request of
fifteen percent (15%) of the voting membership of the organization.
The purpose of the meeting shall be stated in the call and no business
shall be transacted except that mentioned in the call of the special meeting.
Written notice of at least 15 days shall be given to all the members, postmarked day being day 1.
Section 4. Quorum. Fifteen percent (15%) of the regular
members in attendance at a meeting requiring voting shall constitute a quorum.
ARTICLE V - Committees
Section 1. Appointment. Committees, standing or special,
shall be appointed by the President, as deemed necessary to carry on the work of the organization. The President
shall be a member ex officio of all committees except the Nominating Committee.
Section 2. Other Committees. Such other committees, standing
or special, shall be appointed by the president as the organization shall from time to time deem necessary
to carry on the work of the organization.
ARTICLE VI - Fiscal Year
The fiscal year for the organization shall be July 1 through June 30th.
ARTICLE VII - Parliamentary Authority
The rules contained in the current edition of Robert's Rules of
Order, Newly Revised shall govern the organization in all cases
to which they are applicable and in which they are not inconsistent
with these Bylaws and any special rules of order the organization may adopt.
ARTICLE VIII - Amendment of Bylaws
These Bylaws may be amended at any regular meeting of the organization
by a two thirds vote, provided that the amendment has been submitted in writing at the previous regular meeting. |
